Terms of Use

Welcome to Lingdow. By accessing or using our mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By downloading, installing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years of age (or the applicable age of consent in your jurisdiction, such as 16 in the European Economic Area) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

3. Account Registration

To use certain features of the Service, you must create an account by providing a valid email address and password, or by signing in through a third-party authentication provider (such as Google Sign-In). You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may not create multiple accounts, share your account credentials with others, or transfer your account to another person. We reserve the right to suspend or terminate accounts that we believe violate these Terms.

4. License to Use the Service

Subject to your compliance with these Terms, Lingdow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Service on a device that you own or control, solely for your personal, non-commercial language learning purposes.

4.1 Restrictions

You agree that you will not:

  • Reproduce, redistribute, sell, rent, lease, sublicense, or publicly display any content from the Service
  • Use the Service for any commercial purpose without our prior written consent
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use automated tools, bots, scrapers, or other means to access, scrape, extract, or collect data from the Service
  • Interfere with, disrupt, or place undue burden on the Service or its infrastructure
  • Circumvent, disable, or otherwise interfere with any security, access control, or copy protection features of the Service
  • Use the Service to violate any applicable law or regulation
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to other users' accounts or any part of the Service's infrastructure

5. Content and Intellectual Property

5.1 Lingdow Content

The Service, including its design, features, text, graphics, logos, icons, images, audio clips, software, and all other content and materials provided by Lingdow (collectively, "Lingdow Content"), is owned by or licensed to Lingdow and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All Lingdow-generated content, including translations, AI-generated definitions, summaries, and learning materials, is the intellectual property of Lingdow.

5.2 Third-Party Content

The Service provides access to video content from third-party platforms, primarily YouTube, for language learning purposes. Lingdow does not claim ownership of any third-party content. Your access to and use of YouTube content through the Service is also subject to YouTube's Terms of Service. Lingdow is not responsible for the availability, accuracy, or legality of third-party content.

5.3 Trademarks

"Lingdow" and the Lingdow logo are trademarks of Lingdow. You may not use our trademarks without our prior written consent. All other trademarks, service marks, and trade names appearing in the Service are the property of their respective owners.

6. User-Generated Content

By submitting any content through the Service (such as feedback, suggestions, learning notes, or other materials), you:

  • Grant Lingdow a worldwide, royalty-free, non-exclusive, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and improving the Service
  • Represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe the intellectual property rights, privacy rights, or other rights of any third party
  • Acknowledge that you are solely responsible for any content you submit and any consequences thereof

7. Subscription and Payments

7.1 Subscription Plans

Certain features of the Service require a paid subscription. Subscription plans, including pricing and billing periods (monthly or annual), are presented within the app at the time of purchase. All prices are displayed in your local currency as determined by the App Store.

7.2 Billing and Renewal

By subscribing, you agree to the following:

  • Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select)
  • Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period
  • Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current billing period
  • Payment is processed by Apple through the App Store. Lingdow does not collect or store your payment information

7.3 Cancellation

You may cancel your subscription at any time through your Apple ID account settings (Settings > Apple ID > Subscriptions). Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew. You will retain access to premium features until the end of the paid period. No partial refunds are provided for unused portions of a billing period.

7.4 Refunds

Refunds for subscription payments are subject to Apple's App Store refund policies. To request a refund, please contact Apple directly through reportaproblem.apple.com. Lingdow does not have the ability to process refunds for App Store purchases.

7.5 Free Trial

We may offer a free trial period for new subscribers. If you do not cancel before the free trial ends, you will be automatically charged for the subscription plan you selected. Free trial eligibility is determined by Apple and is typically limited to one trial per Apple ID.

7.6 Price Changes

We reserve the right to change subscription pricing at any time. If we increase prices, we will provide reasonable advance notice through the app or via email. Price changes will take effect at the start of your next billing period after the change. If you do not agree to a price change, you may cancel your subscription before it renews.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence (AI) to provide translations, word definitions, contextual explanations, and other language learning content. You acknowledge and agree that:

  • AI-generated content may contain inaccuracies, errors, or omissions and should not be relied upon as the sole source of language learning or as a professional translation service
  • Lingdow does not guarantee the accuracy, completeness, or reliability of any AI-generated content
  • AI-generated content is provided for educational purposes only and should not be used for official, legal, medical, or other professional purposes
  • You are responsible for verifying the accuracy of any AI-generated content before relying on it

9. Speech Recognition

The Service offers a shadow reading feature that uses Apple's Speech Recognition framework to evaluate your pronunciation. By using this feature, you:

  • Grant the app permission to access your device's microphone for the purpose of speech recognition
  • Acknowledge that speech recognition results may vary in accuracy depending on factors such as pronunciation, accent, background noise, and microphone quality
  • Understand that pronunciation scores are provided as educational feedback and may not perfectly reflect actual language proficiency

10. Account Deletion and Data Removal

You may request deletion of your account at any time through the app settings or by contacting us at help@lingdow.cn. Upon account deletion:

  • Your account and profile information will be permanently deleted within 30 days
  • Your saved vocabulary, sentences, watch history, and learning progress will be permanently deleted
  • Your active subscription, if any, will not be automatically canceled — you must cancel it separately through Apple ID settings
  • Certain data may be retained as required by law or for legitimate business purposes (such as fraud prevention)
  • Account deletion is irreversible. We cannot recover deleted accounts or data

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate any provision of these Terms
  • You engage in conduct that is harmful to other users, the Service, or Lingdow
  • We are required to do so by law
  • We discontinue the Service or any part thereof

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LINGDOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING TRANSLATIONS AND AI-GENERATED CONTENT
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED

YOU USE THE SERVICE AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA RESULTING FROM YOUR USE OF THE SERVICE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINGDOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, revenue, profits, or business opportunities
  • Loss of goodwill or reputation
  • Cost of procurement of substitute goods or services
  • Personal injury or property damage related to your use of the Service
  • Any unauthorized access to or alteration of your data
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors, inaccuracies, or omissions in any content

IN NO EVENT SHALL LINGDOW'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO LINGDOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Lingdow, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you submit through the Service

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service by contacting us at help@lingdow.cn. We will attempt to resolve the dispute informally within 60 days.

15.2 Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall be conducted in Beijing, China, in the Chinese language, unless both parties agree otherwise.

15.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. If you are a consumer in the European Union, you may also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

17. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including sanctions regulations, in your use of the Service. You represent that you are not located in a country that is subject to a government embargo or designated as a "terrorist supporting" country, and that you are not listed on any government list of prohibited or restricted parties.

18. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. If we discontinue the Service entirely, we will provide reasonable notice and, where applicable, offer prorated refunds for prepaid subscription periods.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms within the app
  • Updating the "Last updated" date at the top of these Terms
  • Sending you an email notification for significant changes

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you disagree with the changes, you should discontinue use of the Service and delete your account.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

21. Waiver

The failure of Lingdow to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Lingdow.

22. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Lingdow may assign these Terms without restriction. These Terms are binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.

23. Entire Agreement

These Terms, together with our Privacy Policy, and any other legal notices or agreements published by Lingdow in connection with the Service, constitute the entire agreement between you and Lingdow regarding the use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.
